Terms of Service
These Terms of Service ("Terms") govern your use of the Vestie website, mobile app, and related services (collectively, the "Services") provided by Vestie, Inc. ("Vestie," "we," "us," or "our"). By using the Services, you agree to these Terms. The iOS application is separately licensed under Apple's Standard Licensed Application End User License Agreement. These Terms are Vestie's terms for the service. They are not Apple's end user license agreement.
1. Acceptance of Terms
By accessing or using the Services, you agree to comply with and be legally bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services. Vestie does not knowingly offer investment accounts to anyone under 18.
3. Our Role as an Adviser
Vestie, Inc. is an internet investment adviser registered with the U.S. Securities and Exchange Commission, and we act as a fiduciary required to act in your best interest. We provide investment advice to our clients exclusively through our interactive website and mobile application. Based on the information you supply through the platform — your financial situation, investment objectives, risk tolerance, and time horizon — our software-based model selects and manages a risk-based model portfolio of exchange-traded funds for you on a discretionary, ongoing basis. Our services, fees, and conflicts of interest are described in our Form ADV Part 2A (Brochure) and Form CRS, available through the platform and the SEC's Investment Adviser Public Disclosure website. If anything in these Terms conflicts with our Form ADV, the Form ADV controls.
4. Account Registration
You are responsible for maintaining the security of your account credentials. You agree to provide accurate and complete information when creating an account and to update it as needed. You may sign in with email and password, Sign in with Apple, Google Sign-In, or another method we support.
5. Use of Financial Data
By using the Services, you authorize us and our service providers to retrieve financial information from your bank accounts and investment accounts, including through Plaid. Brokerage and custody services are provided through Alpaca. This information is used to provide the investment services described in these Terms and in our Form ADV.
6. Fees and Subscriptions
Vestie may offer paid subscription plans. Our advisory fee is a flat subscription fee disclosed in our Form ADV Part 2A and Form CRS. The price, billing period, features, and renewal terms applicable to your subscription will be disclosed before purchase.
Subscriptions purchased through the Vestie iOS application are processed by Apple through the App Store and are subject to Apple's applicable payment and subscription terms.
Subscriptions purchased through Vestie's website may be processed by Vestie's third-party payment processor.
Vestie subscription fees are separate from assets held in your investment account and are not deducted from your custodial investment account unless expressly disclosed otherwise.
7. App Store Purchases
If you purchase a Vestie subscription through Apple's App Store, payment will be charged to your Apple ID account in accordance with the terms shown at the time of purchase. Subscription management, renewal, and cancellation for App Store purchases are handled through your Apple account settings and are subject to Apple's applicable terms and policies. Vestie cannot cancel an App Store subscription for you.
8. Third-Party Services
We rely on service providers to operate parts of the Services, including Alpaca for brokerage and custody, Plaid for bank connectivity, Firebase and Google for authentication, Apple for Sign in with Apple and App Store purchases, and a payment processor for subscriptions purchased on the website. Your use of those services may be subject to their own terms. We require service providers that receive personal information from us to protect that information in accordance with applicable law and applicable contractual obligations.
9. Risks of Investing
Investing involves risk, including the possible loss of principal. Market prices can go down. Past performance is not a guarantee of future results. While we act in your best interest, we cannot and do not guarantee any specific investment outcome.
10. Termination
You may close your account and terminate your relationship with us at any time. Upon termination, you may withdraw your assets or transfer them to another brokerage, subject to applicable law and operational requirements. We may suspend or terminate your account if we believe you have violated these Terms.
11. Account Deletion and Retention
You may initiate deletion of your Vestie account directly within the Vestie app by going to Settings and selecting “Delete Account.” You may also contact us at hey@vestie.com for assistance.
When an account is deleted, Vestie will delete or de-identify personal information associated with the account except information we are required or permitted to retain under applicable securities, financial-services, tax, fraud-prevention, legal, or regulatory requirements.
We retain personal information for as long as reasonably necessary to provide the Services, maintain accounts, comply with applicable legal and regulatory obligations, resolve disputes, enforce agreements, prevent fraud, and protect the security of the Services. Certain financial, investment, transaction, identity-verification, tax, or regulatory records may be retained after an account is closed or deleted where required or permitted by law.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes. Continued use of the Services after changes constitutes your acceptance.
